Fine Sinter Group Charter of Conduct

1. Preface

The auto manufacturing industry is in a once in a century revolutionary period where the demand for involvement in global issues, such as climate change, hunger, and drought, is higher than ever before. The recent drastic development of AI and digital technologies have made the global market more competitive, which has increased the importance of diversity, cooperate contribution to society, and compliance.

Traditional business ideologies, which focus solely on profit, have shifted, and there is more emphasis on caring for stakeholders (such as customers, employees, stockholders, suppliers, government, local community, and global community), having an open, moral, and honest business management, and wholesome pursuit of profit. It is important to cultivate a company culture that values those priorities equally and abides by compliance policies.

Today, corporations are expected to synergize with society and share wellness. We no longer tolerate business development at the expense of society, and we no longer tolerate societal development at the expense of the businesses. Businesses and society are to maintain healthy relationships and work together for mutual benefit and development.

For our company to continuously provide value to the world, where business activities grow more complex, fast-paced, and diverse, it is essential to have a clear value/moral compass, so we, as individuals and as an organization, can walk together in harmony, with shared goals and standards.

Our passion for sustainability (contribution to establish a sustainable society) comes from our mission “to contribute to the prosperity and happiness of our employees and community.” Our Charter of Conduct lays out specific, simple steps we will take to achieve our mission. Our corporate effort should always be meaningful for society, and therefore, we need an internal ethics standard and conduct ourselves based on a high set of moral values.

To cultivate the company culture springing from our Charter of Conduct, we will need to take small, daily steps in the right direction. Our goal is to value compliance, to be continuously ethical, and to become a company that can be trusted.

2. Our Commitment

We hereby promise to institute and uphold the following Charter of Conduct, and live as a moral member of society, working toward our mission, fulfilling our responsibility in society as a corporation, gaining trust from stakeholders, and contributing to the sustainable development of society.

Towards Customers

  • We will always look at things from the customer’s point of view, live up to customer expectations and trust, and develop and provide valuable products to satisfy the customer.
  • We deliver safe, reliable, superior quality products to the customer.
  • We handle and protect customer information appropriately.

 

Towards Employees

  • We respect each other’s human rights, and value diversity of age, nationality, race, ethnicity, personality, perspective, and gender; never harboring biases toward each other. We will not tolerate child labor and forced labor.
  • We will not tolerate harassment and any other disrespectful and demeaning behaviors. We will immediately report and investigate any complaints filed for harassment.
  • We have pride in our company and jobs, support each other, and grow along with the company.
  • We value our differences and support each other in building careers and developing skills.
  • We abide by the national and local labor laws, regarding things such as pay and labor hours.
  • We will secure a safe, wholesome, and energetic workplace.

Towards Shareholders/Investors

  • We disclose corporate information in a timely and appropriate manner and implement highly transparent management.
  • We achieve wholesome profit through business activities and strive to increase the value of the company.
  • We comply with proper accounting standards and implement a system which does not allow misrepresentation or errors in financial reports.

Towards Business Partners

  • We respect business partners, including suppliers, as important partners.
  • We maintain equal relationships with our business partners based on contracts.
  • We conduct fair and proper transactions with our business partners.
  • We protect the intellectual property of our company and will not abuse the intellectual property of a third party.
  • We will follow laws and regulations about transferring skills and products, including proper export paperwork and management.

Towards Society and Environment

  • We will abide by the laws and regulations, conducting ourselves in an ethical, sincere, and responsible manner.
  • We actively engage in activities to solve environmental issues to protect our planet.
  • We value the cultures and customs of each country and community and contribute to business development at the national and local level.
  • We will not use materials and substances prohibited by the law in the country.
  • We will abide by the anti-bribery laws of the country, both in business relationships and government relationships.
  • We will not have any connection with the terrorist groups or any other illegal organizations.
  • We actively participate in activities that contribute to the development of a better society.

Towards Compliance

  • Abiding by the Laws and Regulations and Transparent Management
    We will abide by all the laws, regulations, and company policies. We will not participate in illegal or unethical activities. We will take appropriate steps to secure transparent corporate activities.
  • Compliance Education
    We hold regular compliance training to help employees understand and practice ethical behaviors.
  • Responding to Non-Compliance
    In the case of non-compliance, we will immediately take appropriate measures and develop countermeasures to prevent repeat issues.
  • Risk Assessment and Risk Management
    We regularly assess and evaluate compliance risks and take necessary measures.
  • Integrity and Transparency
    We will always be trustworthy and fair, securing transparency in every dealing and eliminating unethical practices, to gain trust from stakeholders inside and outside of the company.
  • Strengthening the Internal Reporting System
    We will establish an anonymous internal reporting system which employees (management, executives, auditors, full-time employees, part-time employees, temp workers, seasonal workers, etc.) can use to report any unethical or illegal practices and protect those that report issues. We will urgently respond and investigate any such reports and will take necessary measures based on the result of the investigation.
  • Preventing Money Laundering
    To prevent money laundering, we watch all financial transactions carefully and conduct thorough background checks on all suppliers and customers. When we find suspicious transactions, we will properly report and deal with the issue.
